Terms and Conditions of AISWEI B.V. for the SolPlus Bonus Programme

1. Scope

1.1 Our company, AISWEI B.V., located at Barbara Strozzilaan 101, 1083 HN Amsterdam, The Netherlands (hereinafter: “AISWEI“ or “we“), offers inverters, monitoring devices, EV chargers and other accessories for photovoltaic systems, which are sold in Europe under the brand “Solplanet“ by AISWEI directly or through its distributors. To increase our product sales, we also offer eligible installation companies an additional bonus programme under the name “SolPlus“ (the “SolPlus Bonus Programme“). These terms and conditions govern the legal relationship between us and the eligible installer companies (hereinafter: “Participants“ or “you“) under our SolPlus bonus programme.

These Terms and Conditions apply exclusively to the SolPlus Bonus Programme; we do not recognise any provisions of our business partners that conflict with or deviate from these Terms and Conditions.

2. Subject matter and conditions of participation in our SolPlus bonus programme

2.1 Within the framework of our SolPlus bonus programme, we grant eligible installation companies the opportunity to collect bonus points with the installation of products from our Solplanet product range, which can be redeemed for rewards from our company in accordance with clause 4 below. The products eligible for credit and the number of bonus points granted for each can be found on our website at www.solplus.net.

2.2 Any installation company based within the Federal Republic of Germany that purchases creditable products from our Solplanet product range directly or from one of our sales partners is eligible to participate. We reserve the right to refuse the participation of individual persons or installation companies for objective reasons.

2.3 Participation in our SolPlus bonus programme is free of charge.

2.4 Participation in our SolPlus bonus programme and the entitlements to which you are entitled under the bonus programme in accordance with these terms and conditions are not transferable.

3. Registration and data protection

3.1 A prerequisite for participation in our SolPlus bonus programme is that you register your eligible installation company on our website at www.solplus.net. Upon acceptance of your registration, we will set up an account for your installer company (your “SolPlus account“) and confirm access to this SolPlus account by e-mail.

3.2 In connection with your registration, we collect and process contact data of the contact person named by you (in particular name, e-mail address, customer number) as well as bonus data (in particular products purchased, bonus amounts, date of the transaction triggering the allocation of points). Furthermore, we use the contact data of the contact person named by you as well as the bonus data for advertising and marketing purposes, in particular for the transmission of product information and newsletters. This processing of your data is carried out within the scope of what is permissible in terms of data protection and advertising law, insofar as necessary, with the consent of the persons concerned.

4. Redemption conditions of our SolPlus bonus programme

4.1 Under the SolPlus bonus programme, we grant bonus points to eligible and registered installation companies if you have fulfilled the following requirements: (i) You have purchased a creditable product from our Solplanet range from us or from one of our distributors. (ii) You have successfully installed and commissioned the purchased product at your respective customer. (iii) You have registered and activated the installed and commissioned product in our Solplanet Cloud solution by providing the serial number. The point in time at which these three requirements have been met in relation to one of our creditable products is hereinafter referred to as “Installation Completion“.

4.2 The bonus points are credited to your SolPlus account. You can check your current bonus point balance at any time via your SolPlus account on our website www.solplus.net.

4.3 You can raise objections to the correctness or completeness of the bonus point award by sending an e-mail to support_solplus@solplanet.net. If we notify you of the account balance of your SolPlus account by e-mail, you have one month to raise objections to the account balance; if you do not raise any objections within the one-month period, the notified bonus point balance is deemed to be approved.

4.4 You can redeem the allocated bonus points via your SolPlus account for the following types of rewards: • free products • special training • Installer certifications • if applicable, other bonuses that we publish from time to time on our website at www.solplus.net as part of our SolPlus bonus programme. The bonus points required for the redemption of the rewards as well as the supplementary conditions for the allocation of the rewards can be found on our website at www.solplus.net.

4.5 We will endeavour to allocate the Rewards redeemed by you under clause 4.4 promptly within our operational capabilities. Product deliveries will be made in approximately 14 days from the date of confirmation by us.

4.6 If it subsequently transpires that the preconditions for the granting of bonus points did not exist or if the preconditions subsequently cease to apply, for example due to the cancellation of the contract for the purchase of the creditable products, we may cancel the bonus point credit or - if the bonus points have already been redeemed - withdraw from the allocation of the premiums and demand the return of the premiums.

5. Changes to the bonus programme

5.1 We reserve the right to amend these Terms and Conditions and the Terms and Conditions within the scope of what is reasonable at any time with effect for the future, in particular also to amend, restrict or exclude the granting of bonus points, for example within the scope of special promotions or the granting of other discounts or benefits. The corresponding changes will be published on our website at www.solplus.net. In addition, we will inform you of any changes by e-mail.

5.2 If you do not wish to accept changes to these terms and conditions, you can terminate the contract for participation in our SolPlus bonus programme at any time.

6. Term and termination

6.1 The contract on participation in the bonus programme is concluded for an indefinite period.

6.2 The participant may terminate the contract at any time without notice by notifying us in text form.

6.3 We can terminate the contract with a notice period of 4 weeks to the end of the month by notifying the participant in text form.

6.4 The right to extraordinary termination for good cause remains unaffected. Good cause for termination exists in particular in the event of misuse of bonus points by the participant.

6.5 In the event of ordinary termination in accordance with Clauses 6.2 (by you) or 6.3 (by us), you are still entitled to redeem accumulated bonus points within a period of 3 months after receipt of the termination. After this period, the bonus points will expire. The same applies if the contract is extraordinarily terminated by you for good cause in accordance with clause 6.4. If the contract is extraordinarily terminated by us for good cause in accordance with clause 6.4, all bonus points collected by you will expire upon receipt of the termination by you.

7. Final provisions

7.1 This contract is subject to the law of the Federal Republic of Germany to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

7.2 The courts of Amsterdam, the Netherlands, shall have jurisdiction over all disputes arising out of or in connection with this contractual relationship. In addition, each Party may bring an action against the other Party at its respective principal place of business. Except in cases of interim relief, the above jurisdictions are exclusive.
